Envalior’s update following LANXESS’ announcement of 23 September 2025

As set out in the LANXESS announcement, subject to the availability of financing the JV partner is obliged to acquire all or half of LANXESS' shares effective 1 April 2026.

Accordingly, it is important to note that:

• The final execution of the put option and thereby whether and how the offer to sell will proceed, will be known by March 2026 at the latest and may result in the sale of shares completing, partial completing or not completing depending on whether a full or partial funding can be obtained by LANXESS’ JV partner.
• Envalior’s trading remains robust, Envalior continues to have a strong financial position with good liquidity and has debt-raising capabilities for business as usual purposes.
• There is no contractual obligation of Envalior vis-à-vis LANXESS to obtain the financing of the underlying share transfer.
• LANXESS’ offer for sale of its shares is in line with our expectations and has no impact on our business, operations and employees, and no impact to our customers or suppliers, and accordingly we continue business as usual and focus on delivering our strategy.
